01Educational purpose
The Governance Library is an educational publication by mæd partners. It is intended for chairs, non-executive directors, and senior governance practitioners. It is not intended, and should not be relied on, as a substitute for advice on a specific matter from a qualified solicitor, accountant, regulator, or other professional adviser.
02Not legal, regulatory, or investment advice
Nothing in The Governance Library constitutes:
- Legal advice. The content summarises statutory duties, case law, and regulatory practice for pedagogical purposes. It is not tailored to any specific board, company, transaction, or dispute. For legal advice on a particular matter, consult a qualified solicitor.
- Regulatory advice. The content comments on the UK Corporate Governance Code, FRC and ARGA guidance, PRA and FCA requirements, and comparable overseas regimes. It is not a substitute for the specific regulatory guidance applicable to a regulated entity.
- Investment advice. The content discusses listed companies (including BP, NatWest Group, Unilever plc, Volkswagen AG, and others) to illuminate governance concepts. It is not a recommendation to buy, sell, or hold any security, and it is not a research report under the FCA's Conduct of Business Sourcebook.
03Views expressed are the author's
All interpretations, characterisations, and critical assessments are those of Matthew Doyle, published under mæd partners. They are not the views of any company, individual, regulator, or institution named in the content.
04Accuracy and currency
Content reflects the public record as of the date of publication noted on each artefact. Governance codes, case law, regulatory regimes, and live corporate situations evolve. Where a script discusses proceedings or strategic situations that were unresolved at publication, the published text represents the author's reading at that date; subsequent developments may alter the picture.
05Named individuals
The Library names living individuals (directors, chief executives, regulators, judges, academic commentators) only where their role or conduct is a matter of public record, documented in authoritative sources (Parliamentary reports, court judgments, regulator findings, annual reports, named press accounts). Where a characterisation is interpretive rather than factual, that interpretation is the author's.
Right of reply. Any individual named who believes a characterisation is factually inaccurate or unfair is invited to contact curator@thegovernancelibrary.com. The Library undertakes to consider the representation in good faith and to update, clarify, or withdraw as the evidence warrants.
06Data protection (UK GDPR)
mæd partners processes personal data concerning named individuals under the lawful basis of Article 6(1)(f), legitimate interests in public-interest educational commentary on matters of public record. 07Intellectual property
Third-party quotations from primary sources (judgments, statutes, reviews, academic publications) are used under the fair-dealing exception for criticism or review (Copyright, Designs and Patents Act 1988, section 30). Source attribution is provided for every quotation in the Sources Referenced block of each script, and in the show notes of each podcast episode.
